Contracting Counsel Associate Manager

About the role

Accenture's Legal organization employs Contracting lawyers who coordinate and deliver legal, contract and commercial advice, managing contractual risk and ensuring compliance with laws and company policies. This Associate Manager position reviews, drafts and negotiates a range of contractual agreements in a fast-paced corporate environment, working alongside senior Contracting lawyers on more complex contracts and deal structures. The role reports to the Contracting Lead.

Key responsibilities

• Independently structure, negotiate and close client transactions from a legal and business perspective
• Plan with senior Contracting lawyers and internal business clients before client negotiations
• Keep up with developments affecting the company, its clients and the industry and integrate them into transactional practices
• Advise company executives on legal and risk management issues
• Build expertise in one or more areas benefiting Legal and the business
• Help develop internal guidelines, toolkits and packaged knowledge on legal and business issues
• Support and implement Legal Group initiatives

Required profile

• JD (or equivalent); authorized and licensed to practice law in at least one jurisdiction
• Minimum 3 years of transactional experience in digital, consulting, systems integration and/or outsourcing, preferably in a law firm or a fast-paced corporate legal/transaction group
• Strong legal foundation in contract drafting, review and end-to-end risk management
• Fluent in English, able to draft and handle Chinese and English contracts; Japanese or Cantonese is a plus

Required skills

• Experience negotiating and drafting technology-based agreements
• Principle-based negotiation strategy and tactics, including presenting alternatives and proposed solutions
• Ability to manage contract transactions independently
• Good understanding of contracting and risk issues, including IP, in digital, consulting, systems integration and outsourcing contexts
• Openness to technological innovation and use of AI tools to improve efficiency
