Legal Counsel – In‑house (Shanghai)

About the role

The Legal Counsel will support the sales and commercial teams by drafting, reviewing and negotiating contracts, ensuring compliance with internal policies and external regulations. This position works closely with Sales, Business Operations, Group Legal and Finance to mitigate risk and drive business growth.

Key responsibilities

• Draft, review and negotiate sales contracts using standard or customer terms, coordinating input from Sales, Business Operations, Group Legal and Finance.
• Support sales teams in preparing bids and proposals, providing legal and compliance advice, and ensuring timely, compliant responses to RFPs/RFQs.
• Resolve contract‑related issues and deliver risk‑based guidance to the business.
• Conduct risk assessments for sales contracts, obtain necessary approvals, and ensure alignment with company policies.
• Assist in implementing and monitoring compliance policies in China, including anti‑bribery, whistleblowing, data protection, trade compliance and sanctions.
• Support third‑party and channel partner compliance processes, including due‑diligence, red‑flag identification and record‑keeping.
• Contribute to compliance communications and training, preparing localized materials and reinforcing a speak‑up culture.

Required profile

• Bachelor’s degree in law or a related legal qualification.
• Minimum 5 years of experience in an in‑house legal team or law firm, with a strong background in drafting and negotiating commercial contracts.
• Excellent written and verbal communication skills in English and Chinese.
• Well‑organised, detail‑oriented and able to manage competing deadlines.
• Strong negotiation, critical‑thinking and problem‑solving abilities.
