About the role
We are seeking an Associate to join our Corporate practice in Shanghai. The role involves advising multinational companies, Chinese businesses, financial institutions and investors on a broad range of corporate and commercial matters, including cross‑border M&A, joint ventures, FDI and private equity transactions.
Key responsibilities
- Advise on domestic and cross‑border mergers and acquisitions, disposals, joint ventures, strategic investments and corporate reorganisations.
- Support foreign direct investment into China and outbound investments by Chinese clients, including transaction structuring, due diligence, regulatory analysis and implementation.
- Draft, review and negotiate transaction documents such as share and asset purchase agreements, joint venture agreements, shareholders’ agreements and corporate approvals.
- Collaborate closely with colleagues in China and across the firm’s international network on sophisticated cross‑border transactions across various sectors.
Required profile
- Qualified lawyer with experience in corporate and commercial law, preferably with exposure to cross‑border transactions.
- Strong analytical and drafting abilities, and ability to work with multinational clients.
- Fluent in English; Mandarin proficiency is an advantage.
