Legal Counsel

About the role

Thoth, an AI technology company, is looking for a commercially minded Legal Counsel to join its strategic legal team in Beijing. Reporting directly to the General Counsel, you will provide practical, business‑oriented legal advice across corporate, commercial, technology, employment, privacy, compliance, and operational matters.

Key responsibilities

• Draft, review, negotiate and advise on a broad range of commercial agreements, including MSAs, SOWs, SaaS licensing, data licensing, procurement, NDAs, partnership and reseller agreements.
• Identify legal and commercial risks and propose business‑focused solutions; develop contract templates, playbooks and negotiation guidelines.
• Provide day‑to‑day legal advice on corporate governance, entity management, restructurings, shareholder and board matters.
• Support strategic transactions such as M&A, investments, financing and coordinate external counsel across jurisdictions.
• Advise on AI, machine‑learning, robotics, software, SaaS platforms, data licensing, data collection, IP and cloud services.
• Monitor emerging legal and regulatory developments affecting AI, data, software and digital technologies.
• Support privacy and data‑protection compliance (GDPR, Singapore PDPA, CCPA/CPRA, other international laws) and assist with anti‑bribery and other compliance initiatives.
