Legal Counsel

About the role

Thoth, an AI technology company, is looking for a commercially‑minded Legal Counsel to join its strategic legal team in Beijing. Reporting directly to the General Counsel, you will provide practical, business‑oriented legal advice across corporate, commercial, technology, employment, privacy, compliance and operational matters.

Key responsibilities

• Draft, review, negotiate and advise on a wide range of commercial agreements, including MSAs, SOWs, SaaS licensing, data licensing, procurement, NDAs, partnership and consulting contracts.
• Identify legal and commercial risks and propose pragmatic, business‑focused solutions.
• Develop and maintain contract templates, playbooks and negotiation guidelines.
• Provide day‑to‑day legal support for corporate governance, entity management, restructurings, shareholder and board matters.
• Support strategic transactions such as M&A, investments and financing, and manage external counsel across jurisdictions.
• Advise on AI, machine‑learning, robotics, software, SaaS platforms, data licensing, cloud services and related intellectual‑property issues.
• Monitor emerging legal and regulatory developments affecting AI, data and digital technologies.
• Partner with product, engineering and security teams to manage legal and regulatory risks in product development.
• Support compliance with privacy and data‑protection laws (GDPR, Singapore PDPA, CCPA/CPRA, etc.) and assist in building compliance policies and governance frameworks.
